Welcome to MentraNova. These Terms and Conditions ("Terms") govern your access to and use of the MentraNova platform, including our website, mobile application, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using MentraNova, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and MentraNova.

2. Eligibility

To use MentraNova, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete registration information
• Not be prohibited from using the Platform under applicable laws

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

You may register for an account using email or third-party authentication services (Google, Facebook, Apple, X/Twitter). You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. MentraNova is not liable for any losses arising from unauthorized use of your account.

4. Services Provided

4.1 Platform Overview

MentraNova is a life coaching and mentoring platform that connects users with professional coaches, mentors, and experts. Our services include:

• Personalized coach and mentor matching
• One-on-one coaching via chat messaging
• AI-powered coaching assistance
• Progress tracking and goal-setting tools
• Educational resources and content

4.2 Platform Role — Intermediary Only

MentraNova is a technology platform that acts solely as an intermediary. We provide the software infrastructure that enables users to discover and communicate with independent coaches, mentors, and other professionals. MentraNova does not itself provide coaching, mentoring, psychological, therapeutic, or any other professional services. All professional services are provided directly by independent third-party professionals who use the Platform.

By using MentraNova, you acknowledge and agree that:

• MentraNova is not a party to any agreement between you and a coach or professional
• MentraNova does not endorse, recommend, or guarantee any specific coach, professional, or outcome
• Any advice, guidance, or information provided by coaches or through AI features is their responsibility, not ours
• You are solely responsible for evaluating whether a coach or professional is suitable for your needs
• MentraNova bears no liability for the quality, accuracy, safety, or legality of services provided by coaches

4.3 No Medical or Therapeutic Services

Important Disclaimer: MentraNova and the professionals on the Platform provide coaching and mentoring for personal development and professional growth. These services are not a substitute for professional medical, psychological, psychiatric, or therapeutic treatment. If you are experiencing a mental health crisis or medical emergency, please contact emergency services or a qualified healthcare professional immediately.

5. User Conduct and Obligations

5.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, threaten, or intimidate other users or coaches
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Platform or related systems
• Interfere with or disrupt the Platform's operation
• Use automated systems (bots, scrapers) without permission
• Collect or harvest information about other users
• Use the Platform for any commercial purpose without authorization

5.2 Content Standards

Any content you submit or share must not:

• Be illegal, offensive, defamatory, or discriminatory
• Infringe on intellectual property rights
• Contain confidential information of others
• Promote violence, hate speech, or illegal activities
• Contain explicit sexual content or child exploitation material

6. Coaching Relationship

6.1 Independent Contractors

Coaches and mentors on MentraNova are independent professionals, not employees, agents, or representatives of MentraNova. The coaching relationship is exclusively between you and your coach. MentraNova has no control over and assumes no responsibility for the conduct, advice, qualifications, or services of any coach or professional on the Platform.

6.2 Coach Matching and Selection

MentraNova uses algorithms and AI to suggest potential matches based on information you provide (such as goals, preferences, and location). These suggestions are informational only and do not constitute a professional recommendation, referral, or endorsement. You acknowledge that:

• Matching is based on limited self-reported data and algorithmic analysis — it is not infallible
• MentraNova does not guarantee that any match will be suitable, effective, or meet your expectations
• You are responsible for your own decision to engage with any coach or professional
• MentraNova is not liable for any harm, dissatisfaction, or loss arising from a coaching relationship, regardless of whether we suggested the match

6.3 Session Conduct

Users and coaches are expected to:

• Treat each other with respect and professionalism
• Attend scheduled sessions on time or provide adequate notice of cancellation
• Maintain confidentiality of session content
• Report any concerns or violations to MentraNova

7. Payment and Subscriptions

7.1 Fees and Billing

Certain features and services require a paid subscription, available exclusively through In-App Purchases via the Apple App Store or Google Play Store. You agree to:

• Pay all applicable fees as described on the Platform
• Authorize Apple or Google to charge your payment method for subscriptions
• Pay all applicable taxes

7.2 Subscriptions

If you purchase a subscription through the App Store or Google Play:

• Your subscription will automatically renew unless cancelled
• You will be charged at the beginning of each billing cycle
• You can cancel at any time through your device's subscription settings (App Store or Google Play)
• Cancellation takes effect at the end of the current billing period

7.3 Refund Policy

All payments are processed by Apple or Google. Refund requests must be submitted through the respective app store:

• Apple: Request a refund from Apple
• Google: Request a refund from Google Play

7.4 EU Right of Withdrawal

Under the EU Consumer Rights Directive, you have a 14-day right of withdrawal for digital content purchases. However, by initiating a download or starting to use the digital service, you acknowledge and consent that the right of withdrawal may be forfeited, as permitted under Article 16(m) of the Directive. You may still request refunds through the applicable app store as described above.

8. Intellectual Property

8.1 Platform Content

The Platform, including all content, features, functionality, and design, is owned by MentraNova and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute Platform content without permission
• Reverse engineer or decompile the Platform
• Remove or alter any copyright or proprietary notices

8.2 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant MentraNova a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and improving the Platform.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Limitations of Liability

10.1 Platform as Intermediary

MentraNova acts exclusively as a technology intermediary. We do not provide coaching, mentoring, psychological, or any other professional services. To the maximum extent permitted by applicable law, MentraNova disclaims all liability for:

• The conduct, advice, recommendations, or actions of any coach, mentor, or professional on the Platform
• The accuracy or suitability of any match suggested by our algorithms or AI
• Any harm, injury, emotional distress, or dissatisfaction resulting from coaching sessions or professional interactions
• Any decisions you make based on advice or guidance received through the Platform
• The qualifications, credentials, or competence of any professional, beyond what we have verified

10.2 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MENTRANOVA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability, fitness for a particular purpose, and non-infringement
• Accuracy, reliability, or completeness of content or matching suggestions
• Uninterrupted or error-free operation
• Specific results or outcomes from coaching or any professional services
• The suitability of any professional for your particular situation

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTRANOVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruptions or security breaches
• Actions, inactions, advice, or conduct of coaches, professionals, or other users
• Reliance on content, advice, or matching suggestions provided through the Platform
• Any coaching relationship that does not meet your expectations

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO MENTRANOVA IN THE 12 MONTHS PRECEDING THE CLAIM.

10.4 Indemnification

You agree to indemnify and hold harmless MentraNova, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your interaction with any coach or professional, or violation of these Terms.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting support or using the account deletion feature in your settings.

11.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms
• Your conduct poses risks to other users or the Platform
• Required by law or legal process
• We cease operations or discontinue the Platform

11.3 Effect of Termination

Upon termination:

• Your right to access the Platform immediately ceases
• You remain responsible for any outstanding fees
• Provisions that by their nature should survive will remain in effect

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Belgium. If you are a consumer residing in the EU/EEA, you also benefit from any mandatory provisions of the consumer protection laws in your country of residence.

12.2 Jurisdiction

Any disputes arising from these Terms shall be submitted to the competent courts of Belgium, without prejudice to your right as an EU consumer to bring proceedings in the courts of your country of residence.

12.3 Online Dispute Resolution

13. General Provisions

13.1 Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting, and your continued use constitutes acceptance. Material changes will be communicated via email or Platform notification.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MentraNova regarding the Platform.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.4 Waiver

No waiver of any provision shall be deemed a further or continuing waiver of that or any other provision.

13.5 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.

13.6 Force Majeure

MentraNova shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or technical failures.
